By accessing or using SmartGym EDGE (the "Service") — including the web admin dashboard, mobile application, edge hardware, and related software — you agree to be bound by these Terms and Conditions. If you do not agree, please do not use the Service.

1. Definitions

  • "Jenix India" refers to the software developer and service provider operating SmartGym EDGE.
  • "Gym Operator" refers to the business or individual who purchases or deploys SmartGym EDGE to manage gym premises.
  • "Staff / Admin" refers to individuals authorised by the Gym Operator to access the admin dashboard.
  • "Member" refers to gym members whose access is managed by the Service.
  • "Edge Device" refers to the on-premises hardware (mini-PC, Raspberry Pi, or similar) running the edge service software.

2. License & Permitted Use

Jenix India grants the Gym Operator a non-exclusive, non-transferable license to install and use SmartGym EDGE for internal gym access control operations. You may:

  • Deploy the software on hardware you own or control at your gym premises.
  • Configure the system for your members and staff.
  • Export and use your own data for business purposes.

You may not:

  • Resell, sublicense, or redistribute the software without written permission from Jenix India.
  • Reverse-engineer, decompile, or attempt to extract source code (except where permitted by law).
  • Use the Service for any unlawful purpose or in violation of any applicable regulations.
  • Attempt to gain unauthorised access to any part of the system or to other users' data.

3. Gym Operator Responsibilities

As a Gym Operator, you are responsible for:

  • Obtaining proper consent from members before collecting biometric data (face templates, photos).
  • Securing access credentials for the admin dashboard and edge hardware.
  • Ensuring the edge hardware is physically secured on your premises.
  • Complying with all applicable data protection laws (including India's Digital Personal Data Protection Act, 2023) in relation to member and staff data.
  • Maintaining regular data backups as recommended by the system.
  • Informing Jenix India of any security incidents or data breaches promptly.

4. Google Sign-In & Third-Party Services

The Service uses Google OAuth 2.0 for staff authentication. By using Google Sign-In, you agree to Google's Terms of Service and Privacy Policy. We only request the minimum necessary permissions (profile, email) to authenticate users.

The Service also uses Firebase Cloud Messaging (FCM) for push notifications. Use of FCM is subject to Firebase Terms of Service.

5. Data Ownership

You retain full ownership of all data entered into the system — including member records, staff profiles, payment history, and access logs. Jenix India does not claim any ownership over your data.

You may export your data at any time using the built-in backup feature. Data is stored on your own edge hardware and/or a VPS server operated under your account.

6. Service Availability & Updates

Jenix India will make reasonable efforts to maintain the availability of cloud-hosted components. However, we do not guarantee 100% uptime. The edge-first architecture ensures that access control continues to function offline even if cloud services are temporarily unavailable.

Software updates are provided through the built-in update mechanism. We recommend keeping the system up to date to benefit from security patches and new features.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Jenix India shall not be liable for:

  • Any indirect, incidental, special, or consequential damages arising from use of the Service.
  • Loss of data, revenue, or business arising from system downtime, hardware failure, or unauthorised access.
  • Physical security incidents at gym premises (the Service is a software tool; physical security remains the Gym Operator's responsibility).

Our total liability to you for any claims shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.

8. Intellectual Property

All intellectual property rights in SmartGym EDGE — including software, design, trademarks, documentation, and the "Jenix India" brand — remain the exclusive property of Jenix India. Nothing in these Terms transfers any IP rights to you.

9. Termination

Either party may terminate the service agreement with 30 days' written notice. Upon termination:

  • You may export all your data before termination.
  • Your license to use the software ends.
  • Jenix India will not retain copies of your data beyond what is required by law.

Jenix India reserves the right to suspend or terminate access immediately in cases of misuse, non-payment, or breach of these Terms.

10. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India. We encourage resolving disputes amicably through direct communication before any legal action.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via the admin dashboard or by email. Continued use of the Service after the effective date of changes constitutes acceptance.
